Terms of Service

Effective: June 7, 2026

These Terms of Service ("Terms") govern your access to and use of the MacLock application and related websites and services (collectively, the "Service"), provided by XPERC, Inc. and XPERC LTD ("XPERC", "we", "us", "our"). By downloading, installing, activating, or using MacLock, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

MacLock is a macOS application that locks your screen while your applications continue running in the background, with features such as Touch ID unlock, auto-lock on idle, and blocking of certain system shortcuts while locked. We may change, suspend, or discontinue features at any time, and we are not a substitute for your operating system's own security.

We may offer a time-limited free trial (e.g., 15 days), tracked per device. Trials are provided "as is" without warranty and may be modified or withdrawn at any time. One trial is permitted per device.

If you are not satisfied, you may request a refund within fourteen (14) days of purchase by contacting info@xperc.com. Where required by applicable consumer law (including the EU/UK right of withdrawal), you retain your statutory rights. The free trial lets you evaluate the Service before purchase.

6. Acceptable Use

You agree not to: (a) copy, resell, sublicense, or distribute the Service except as permitted; (b) circumvent, disable, or tamper with licensing, activation, trial, or security mechanisms; (c) reverse engineer, decompile, or disassemble the Service except to the extent this restriction is prohibited by applicable law; (d) use the Service to violate any law or third-party rights; or (e) use the Service in a way that could damage, disable, overburden, or impair it.

7. Intellectual Property

The Service, including all software, text, and trademarks, is owned by XPERC or its licensors and is protected by intellectual property laws. Except for the license granted above, all rights are reserved and no rights are transferred to you. Any feedback you provide may be used by us without obligation to you.

8. Updates

We may provide updates, which may download and install automatically and may take the form of bug fixes, enhancements, new features, or new versions. Some updates may be required for continued operation. New major versions may be offered separately.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service is a substitute for operating-system security or that it will be uninterrupted, secure, or error-free. Some jurisdictions do not allow the exclusion of implied warranties, so some exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XPERC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Any action arising from these Terms must be commenced within one (1) year after the cause of action arose. Nothing limits liability that cannot be limited under applicable law.

11. Termination

We may suspend or terminate your license if you materially breach these Terms (including circumventing licensing or trial limits). You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

12. Export Compliance

The Service is subject to United States and European Union export controls. You represent that you are not located in, or a national or resident of, any country or on any list subject to U.S. or EU embargo or sanctions, and that you will not use or export the Service in violation of applicable export laws.

13. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in the Commonwealth of Virginia for any dispute arising out of or relating to these Terms or the Service. Nothing affects your mandatory consumer-protection rights in your country of residence.

If you believe content infringes your copyright, contact our Copyright Agent: Dmitri Dubograev, info@xperc.com, with the information required under the Digital Millennium Copyright Act.

15. Changes to These Terms

We may update these Terms. Material changes will be posted here with a new effective date and, where appropriate, notified to you. Continued use after changes take effect constitutes acceptance.
